The Canadian Institute of Chartered Accountants ("CICA") is
committed to protecting the privacy of all Users of the Directors Source Web Site (the "Site")
and ensuring that Users know how their personal information is being collected, used and disclosed.
Our Privacy Policy is in compliance with the Trust Services for Online Privacy Criteria established
by CICA and the American Institute of Certified Public Accountants (AICPA).
By accessing and using information from this site or sending or posting information to it, you
(the "User") agree to the terms of this privacy policy and to our practices to collect, use or
disclose your personal information. This privacy policy may be updated periodically to reflect
changes to the Site that may impact our use of your personal information.
1. Notice
Personal information is collected on the Directors Source Site to:
1) provide a service to Chartered Accountants
who are seeking positions on board of directors (Directorship Seekers);
2) allow companies/recruiters (Companies) to advertise directorships positions to Directorship Seekers
Users will not receive unsolicited electronic advertisements or messages.
Directorship Seekers who choose to be notified of postings will be contacted via e-mail notification.
Directorship Seekers who set their resume as Searchable or Searchable Confidential may receive invitations
for an interview from Companies whose posting matches their resume. Directorship Seekers who set their resume
as Searchable Confidential will only receive the invitations for an interview through Directors Source and
their identity will not be revealed to the Company. Directorship Seekers who set their resume as Searchable
may receive invitations for an interview through any of the contact information they included in their resume.
Directorship Seekers who set their resume to Not Searchable will not receive invitations for interviews from a
Company unless they apply directly to a posting. Directorship Seekers who apply directly to a posting will
reveal all information in their resume to that Company and they may receive a request for an interview from a
Company through any of the contact information they included in their resume. Companies that post volunteer
opportunities do not have access to resumes in the resume database and Directorship Seekers will not receive
a request for an interview unless they directly apply to a volunteer opportunity.
Directors Source prohibits Companies from using information gathered on our site for purposes other
than to hire/recruit Directorship Seekers and we only allow Companies to access resumes that match their
posting. We do not allow access to our entire resume database. While Directors Source has these
procedures in place to prevent unauthorized use of information in our resume database, we accept no
liability for the improper use of Directorship Seeker information by Companies.
Companies who request notification when Directorship Seekers apply to their postings, will receive
an e-mail whenever a Directorship Seeker applies.
Registered users will receive our monthly newsletter unless they choose to opt out. Users may
opt out of receiving the newsletter by deselecting a check box on the Registration form. Companies
may change their newsletter preference by clicking on Update Users in the Account Information section
and then selecting/deselecting the option to receive the newsletter for the appropriate user.
Directorship Seekers may change their newsletter preference by clicking on Manage Resume and
selecting/deselecting this option under Screen 1-Contact Information.
In the registration process, Users acknowledge that they may occasionally be asked for their
opinion of Directors Source services. Registered Users acknowledge that they may be contacted either
by mail, telephone or e-mail for customer service and/or billing purposes or to update their
Directors Source account information. Registered Users also acknowledge that they will be notified
of any major changes to the functionality of Directors Source, this Privacy Policy or the Terms of
Use Contract. Under no circumstances do we sell or give our User lists to others.
Please note that the Site is also governed by the Terms of Use Contract which you should review
before proceeding further.
2. Choice and Consent
All Users of Directors Source retain control over their personal information and individual Users
have control over who has access to this information. Confidential information posted by Companies and
Directorship Seekers is used to match postings with appropriate candidates. Companies and Directorship
Seekers can control how their personal information is used as described below.
Directors Source will not disclose information about a User's individual visits to the Site, or
personal information that Users provide to Directors Source to any outside parties, except as required by law.
Directorship Seekers: Directorship Seekers can choose to allow Companies who register to use the Site to:
(a) have access to search the Directors Source database for a Directorship Seeker's résumé including the
Directorship Seeker's name and contact information;
(b) have access to search the Directors Source database for a Directorship Seeker's posted résumé which
does not include the Directorship Seeker's name or contact information (Directors Source will allow potential
Companies to contact Directorship Seekers through anonymous e-mail (without displaying the Directorship
Seeker's e-mail address). A Directorship Seeker's contact information will not be revealed unless the
Directorship Seeker responds to a request for an interview by a Company or if the Directorship
Seeker applies directly to a posting); or
(c) have no access to search the Directors Source database for either a Directorship Seeker's résumé,
name or contact information including the names of previous employers. (Directorship Seekers can use
Directors Source to store and maintain an up-to-date résumé but prevent others from searching it until
consent is given by the Directorship Seeker to enter it into the Directors Source database or until the
Directorship Seekers applies directly to a posting).
Companies: Employers and recruiters who register to use the site can choose to:
(a) publish a posting that identifies their Company's name and contact information;
(b) publish a posting that does not identify their Company's name or contact information (Directors
Source will allow Directorship Seekers to respond to a posting through e-mail without displaying the
Company's e-mail address); or
(c) allow no access to their posting. (Employers can use this feature if they want to identify
Directorship Seekers who match their posting but do not want to publicly publish the posting at this
point in time).
3. Collection of Information
Anonymous User Browsing: You can visit our Site without telling us who you are or revealing
any information about yourself, including your email address. In this case, our web server may collect
the IP address and domain you used to access this Site, the type and version of web browser and operating
system you are using, the number, duration and frequency of visits to our Site and the web site you came
from and visit next. This anonymous information cannot be traced to a specific individual User - it is
used by Directors Source and our development firm CGI simply to measure the number of visits, average time
spent, page views, most popular preferences and other statistics about visitors to the Site, to determine
the characteristics in which Users use the Site and its services. We may use this data to monitor Site
performance for systems administration purposes, to make the Site easier and more convenient to use, to
improve Directors Source services and to track information in aggregate form (e.g. how many visitors log
in to this Site).
Registered Directorship Seekers and Company Services: Personal information is collected from
Users who register for Directors Source. This information includes a User's name, address, e-mail address,
and telephone number, and credit card number. For Users who register for Directorship Seeker Services (the "
Directorship Seekers") résumé details and directorship interests are collected. For Users who register for
Company Services, company details and posting information are collected.
Cookies are only used when a User logs onto the Directors Source Web Site. Cookies are small files that
your Web browser places on your computer's hard drive. Cookies are used to remember a User's code, password
and preferences while the User is logged onto Directors Source and to facilitate navigating different pages
on the Web Site. These cookies are deleted from the User's web browser and computer when the Users exits the
web browser or when the web browser is unused for a few minutes.
4. Use and Retention
Use of your personal information is limited to the purposes described in the Notice above and for which the
User has provided implicit or explicit consent. For Directorship Seekers who have not logged on to Directors
Source for more than six months, an email notification is sent as a reminder to log on or their resume will
become “Not Searchable”, making it unavailable to Companies. This ensures that Directorship Seekers' personal
information is not retained and made available to Companies for an indefinite length of time.
Directorship Seekers may remove their résumés from Directors Source's searchable database at any time.
However, Companies who have paid for access to the database, and other Users who have otherwise gained access
to the database, may have retained copies of the information contained in a Directorship Seekers résumé in
their own files or databases. Directors Source is not responsible for the retention, use, or privacy of such
information or for how third parties use the résumés while in the Directors Source database.
5. Accessing Information
Directors Source allows all registered Users to access, review, update or delete their personal information
at any time. To do so, log into your Directors Source account, and there are options for editing or removing
information. You may cancel your Directors Source account at any time and we shall delete all of your personal
information from our database.
If you are unsure whether we have a record containing your personal information and would like to confirm
whether or not we do, please send an email to directorssource@cica.ca
, indicating the email addresses you have registered, and we will respond as soon as possible.
6. Onward Transfer and Disclosure
Directors Source discloses personal information to third parties only for the purposes described in the
Notice and for which the User has provided consent, either implicitly or explicitly. Directors Source provides
links to third party and other CICA web sites - our Privacy Policy does not extend to these third party or
other CICA web sites. It is recommended that Users read the privacy policies of these web sites. Directors
Source is not responsible for the content of, or the privacy practices employed by, third party web sites.
7. Security
Directors Source contains security mechanisms that protect against the loss, the misuse, unauthorized
access, disclosure, alteration and destruction of personal information. These mechanisms include firewall
protection, password encryption and restricted access to the server. The Users' personal information is
protected through the use of an exclusive User code and password. All banking transactions and resume data
are protected by Secure Sockets Layer (SSL) encryption technology (128 bits).
Physical access to the server is limited to those CGI employees who have been given a key to the locked,
secure area in which the server resides.
We instruct our employees with access to your information that it is to be used only in adherence with
the principles set forth in this Privacy Policy and applicable laws.
8. Integrity
We are committed to maintaining accurate, complete, relevant and reliable personal information you give
us for as long as it is being used for the purposes set out in this Privacy Policy and the Terms of Use
Contract. Since you play an active role in keeping us up-to-date, prompt notification of any changes to
your résumé and contact information will help us provide you with improved service.
9. Management and Enforcement
CICA is committed to being in full compliance with privacy laws. Legislation is continually monitored
by staff and changes are made to the Directors Source on-line privacy policy as the need arises. Privacy
Policy changes will be posted on the site for your review.
Procedures are in place to address disputes (privacy-related or otherwise) quickly and efficiently.
In the event that the dispute cannot be settled through our normal internal processes, the CICA is
committed to using an independent third party dispute resolution process. This process can be initiated
through the e-mail address directorssource@cica.ca
only after our normal internal processes have been completed. If the issue relates to private information,
the CICA will not use or distribute any private information without express permission. All disputes in
arbitration will be resolved under the laws of Ontario.
